After trying out the suggestions found via a Google search and my Mail issue still persisting I called up Apple Support b/c I had AppleCare. Anyway, so the rep told me (and he tried not blaming either my mail server or Mail) that Mail was timing out before my server could respond — hence the annoying popup asking for the pwd. He said Apple was looking into a way to get Mail to not time out (this issue I guess has been reported before).

What I did then coz they didn’t really help much (they said to just ignore the msg or click “cancel”) was to increase the the frequency of Mail checking for new messages to 15 minutes and I’ve yet to see a popup :)
